puce ULOE (USA)

[Uniform Limited Offering Exemption]
An exemption provided by many states from the registration requirements of state blue sky laws for non-public offerings of securities, which substantially parallels the requirements of Regulation D of the Securities Act of 1933.

puce Underlying Fund

The fund in which a fund of funds invests.

puce Underwriter

Warrants sometimes granted to underwriters/i> as a form of additional compensation in a public offer, typically in a smaller, higher risk offer.

puce Underwriter's Warrants

Warrants sometimes granted to underwriters as a form of additional compensation in a public offer, typically in a smaller, higher risk offer.

puce Underwriting Agreement

The document pursuant to which the underwriters (Syndicate) of a public offer contractually commit to purchase from the issuer the securities that are the subject of the public offer or, in a best efforts offer, in which they agree to use best efforts to sell the securities.

puce Underwriting Discount or Commission

The difference between the price at which the underwriters buy securities from the issuer in a firm commitment public offering and the public offering price.
In a syndicate the total commission is usually divided into a management fee, an underwriting fee and a selling commission.

puce Unit

A security consisting of two separate securities bundled together, for example a share of stock plus a warrant.

puce Unlisted Company

A company the stock of which is not listed on an official exchange.

puce Unqualified Opinion

An auditor's opinion on financial statements in which no limitation is expressed beyond customary assumptions and conditions.
